Case Background

On April 13, 2012, Utilities, Inc. filed an application for authority to transfer majority organizational control of its parent, Hydro Star, LLC (Hydro Star), to Corix Utilities (Illinois),  LLC (Corix).  Utilities, Inc. currently has 11 Commission-regulated subsidiaries (subsidiaries) providing service in 9 counties as shown on Attachment A to this recommendation.  According to the 2011 annual reports on file with the Commission, total revenue for the subsidiaries was $26,578,563 with $5,008,170 in total operating income.

This recommendation addresses the transfer of majority organizational control.  The Commission has previously determined that transfers or mergers at the parent or grandparent level require Commission approval, pursuant to Section 367.071, Florida Statutes (F.S.).[1]

 

Discussion of Issues

Issue 1: 

 Should the transfer of majority organizational control of Utilities, Inc.’s parent, Hydro Star, LLC, to Corix Utilities (Illinois), LLC be approved?

Recommendation: 

 Yes.  The transfer of majority organizational control of Utilities, Inc.’s parent, Hydro Star, LLC, to Corix Utilities (Illinois), LLC is in the public interest and should be approved effective the date of Commission vote.  Utilities, Inc.’s subsidiary certificates are described in Attachment B.  The resultant order should serve as the subsidiaries’ water and wastewater certificates and be retained as such.  The existing rates and charges for the subsidiaries should remain in effect until a change is authorized by the Commission in a subsequent proceeding.  Upon the issuance of an order approving the transfer, Utilities, Inc. should be required to file revised Tariff Sheet No. 3.0 for each of its subsidiaries to reflect the transfer order.  The tariffs should be effective for services provided or connections made on or after the stamped approval date on the tariffs, pursuant to Rule 25-30.475(1), Florida Administrative Code (F.A.C).  (Brady, Jaeger)

Staff Analysis: 

 On April 13, 2012, Utilities, Inc. filed an application for authority to transfer majority organizational control of its parent, Hydro Star, to Corix.  The application was accompanied by Utilities, Inc.’s petition for a variance or waiver of Rules 25-30.030(4)(c), (5), (6) and (7), F.A.C., which govern noticing requirements, and Rule 25-30.037(3)(i), (j), and (k), F.A.C., which governs transfers of majority organizational control.

Partial waiver

Utilities, Inc.’s petition for variance or waiver was approved in part by Order No. PSC-12-0340-PAA-WS, issued June 28, 2012.  The order waived the requirement in Rule 25-30.030(4)(c), F.A.C., for a legal description of territory to appear on the notices.  Instead, approval was given for the notices to be issued with the names of Utilities, Inc.’s subsidiaries.  Because Utilities, Inc. had already given notice in the approved format, a waiver of Rules 25-30.030(5), (6), and (7), F.A.C., which govern the time frame for noticing, became moot and not required.  Further, the order approved a waiver of the provisions of Rule 25-30.037(3)(i), F.A.C., which requires evidence of ownership of the land upon which the utility facilities are located, and Rule 25-30.037(3)(k), F.A.C., which requires the return of certificates.  The order partially waived Rule 25-30.037(3)(j), F.A.C., which requires new tariffs reflecting the change in ownership.  Instead, Utilities, Inc. was required to only revise Tariff Sheet No 3.0 for each of its subsidiaries’ tariffs.  Therefore, if the transfer is approved, staff recommends that Utilities, Inc. be required to submit a revised Tariff Sheet No. 3.0 for each of its subsidiaries to reflect the transfer order.

Noticing

The application is in compliance with the governing statute, Section 367.071, F.S., and the requirements of Rule 25-30.037, F.A.C., pertaining to an application for transfer of majority organizational control, as modified by the waiver order.  In response to the notices, the Commission received four letters of objections.  Legal staff responded to the letters with an explanation that a transfer was not occurring at Utilities, Inc.’s subsidiary level and asked for a response by a time certain whether the correspondents were requesting a formal hearing.  The time frame for the correspondents to request a formal hearing has passed without such a request.

Purchase Agreement

On February 17, 2012, Corix and Highstar Capital Fund II, LP,[2] and certain of its affiliates and co-investors (Highstar), entered into a Purchase and Sale Agreement (PSA) in which Corix will acquire 100 percent of the issued and outstanding membership interests in Hydro Star from Highstar.  Hydro Star, through ownership of Hydro Star Holdings Corporation, owns 100 percent of the issued and outstanding shares of Utilities, Inc.  According to the application, upon consummation of the PSA, it is possible that Corix will merge into Hydro Star, eliminating the intermediate holding company.  The closing on the PSA is subject to the termination of the Hart-Scott-Rodino Act waiting period and receipt of all other requisite governmental approvals.  Pursuant to Section 367.071(1), F.S., the transfer of majority control is contingent upon this Commission’s approval.

Public Interest

The application indicates that the acquisition of Hydro Star’s stock by Corix does not entail any change in direct ownership or control of its subsidiaries and will not cause any change in management or loss of operational expertise.  Further, the application asserts that the proposed transaction does not affect the Commission’s powers with respect to either the rates or the services of the subsidiaries or the authority of any other governmental agency with respect to the subsidiaries’ services or facilities.  According to the application, after reasonable investigation, Corix has determined that the utility systems operated by the subsidiaries appear to be in satisfactory condition and in compliance with all applicable standards set by the Florida Department of Environmental Protection.  Further, Corix agrees to abide by the commitments, obligations, and representations of Utilities, Inc. and its subsidiaries with regard to utility matters.

According to an overview provided by Corix for the application, it is a privately-held corporation principally owned by British Columbia Investment Management Corporation, CAI Capital Partners, and Corix employees and is governed by a public-style Board of Directors.  Corix’s current sole member is Inland Pacific Resources, Inc., whose officers average in excess of  20 years experience, including many positions in the utility industry.  Corix’s overview further states that it has over $750 million of assets under management and a record of generating stable revenues and operating cash flows.  As an institutionally-owned private utility company, Corix claims to be able to finance its equity needs without accessing the capital markets, significantly reducing the time and financial risk associated with lengthy transactions.  The application states that Corix’s purchase of Hydro Star is intended to be a cash transaction.

Corix’s businesses have over 2,200 employees operating in 85 locations across North America, including Alaska and parts of Canada.  Its utility assets include water and wastewater treatment and distribution, thermal energy and combined heat and power generation, natural gas and electricity distribution, and chilled water plants and distribution systems.  In addition to owning utility assets, Corix provides utility services to both public and private utilities.  It also operates branches across North America which distribute products for transporting water and wastewater, as well as products that provide measurement and control equipment for the oil, gas, and industrial products sectors.  Through the indirect purchase of Utilities, Inc., Corix will be acquiring one of the United States’ largest privately-owned water and wastewater companies, currently serving approximately 290,000 customers in 15 states.  Utilities, Inc. acquired its current subsidiaries in Florida over time.  Its subsidiary, Utilities, Inc., of Florida, began operations in Florida on January 1, 1976.

Based on all the above, staff recommends that the transfer of majority organizational control of Utilities, Inc.’s parent, Hydro Star, LLC, to Corix Utilities (Illinois), LLC is in the public interest and should be approved effective the date of Commission vote.  Utilities, Inc.’s subsidiary certificates are described in Attachment B.  The resultant order should serve as the subsidiaries’ water and wastewater certificates and be retained as such.  The existing rates and charges for the subsidiaries should remain in effect until a change is authorized by the Commission in a subsequent proceeding.  Upon the issuance of an order approving the transfer, Utilities, Inc. should be required to file revised Tariff Sheet No. 3.0 for each of its subsidiaries to reflect the transfer order.  The tariffs should be effective for services provided or connections made on or after the stamped approval date on the tariffs, pursuant to Rule 25-30.475(1), F.A.C.
